These Terms and Conditions (“Agreement”) govern your enrollment in the Virtual Membership program with Resident Agent Services (“Services”) provided by MakerSpace Offices (“MakerSpace,” “we,” “us,” or “our”). By subscribing to these Services, you (“Member,” “you,” or “your”) agree to the following terms:
1. Term & Payment
1.1 Membership Term
All Virtual Memberships with Resident Agent Services are subject to a 12-month minimum commitment from the date of enrollment.
1.2 Monthly Payments
Monthly payments shall be automatically charged at the current advertised rate to the payment method on file. You authorize MakerSpace to process these recurring payments without additional consent unless or until your membership is validly canceled in accordance with Section 1.3.
1.3 Cancellation Policy
You may cancel your membership at any time after the 12-month minimum term by providing no less than thirty (30) days’ written notice via email to mail@makerspaceoffices.com. Early cancellation prior to completing the initial 12-month term is permitted; however, no refunds or prorated reimbursements will be issued for any unused portion of Resident Agent Services or monthly membership fees.
2. Resident Agent Services
2.1 Scope of Service
By designating MakerSpace Offices as your Resident Agent, you authorize us to:
Receive legal documents on your behalf; accept state tax notifications, compliance reminders, and annual report notices from the Maryland Department of Assessments and Taxation (SDAT), the Comptroller of Maryland, and other relevant agencies;
Notify you of mail received for your business, including packages (10 lbs or less), official correspondence, and court documents, via text message with photo documentation;
Maintain a consistent, professional physical business address in Prince George’s County, Maryland for your business.
2.2 Limitations of Service
Mail Pick-Up: Mail must be picked up in person during regular business hours. We do not provide mail forwarding or courier services.
Non-Liability for Compliance: While MakerSpace will make every effort to notify you of compliance deadlines and filing notices as received, we are not responsible or liable for missed filings, compliance issues, or any associated penalties or consequences. It is solely your responsibility to ensure timely business compliance with all federal, state, and local regulations.
2.3 Annual Resident Agent Fee
An annual Resident Agent fee will be charged automatically on the anniversary of your registration date. This fee is non-refundable and not subject to proration, regardless of cancellation date or service usage.
2.4 Multiple Business Entities
Each business entity utilizing Resident Agent Services must maintain a separate Virtual Membership account. Resident Agent Services may not be shared or consolidated under a single membership.
3. No Refund Policy
All payments made toward Virtual Membership and Resident Agent Services, including monthly dues and annual Resident Agent fees, are non-refundable and non-transferable. Prorated refunds are not provided under any circumstances.
4. Communication & Contact
4.1 Member Notifications
You agree to keep your contact information current and accurate. MakerSpace Offices will provide mail notifications and document alerts via the phone number and/or email address you provide. We are not liable for communication delays or missed notifications due to outdated or incorrect information on file.
4.2 Changes to Terms
We reserve the right to update or modify these Terms & Conditions at any time, with reasonable notice provided to Members via email. Continued use of the Services after any changes constitutes acceptance of the revised terms.
5. Liability Disclaimer
MakerSpace Offices shall not be held liable or otherwise responsible for any failure to receive or deliver documents or notifications, including (but not limited to) compliance notices, government filings, or legal service of process. We do not guarantee the successful receipt, interpretation, or outcome of any notices or deadlines. You, as the business owner, remain solely responsible for maintaining compliance and responding to any and all correspondence.
6. Acknowledgment
By enrolling in the MakerSpace Offices Virtual Membership with Resident Agent Services, you affirm that you have read, understood, and agreed to the terms and conditions set forth above.
